学过会计基础理论的同学都记得一个枯燥而又常考的术语:“Materiality”(重要性原则)。这个术语与信息披露有关,只要某个信息是重要的(material information),就应该被披露给外界。痛苦的是,教授们喜欢考这个概念的演变史,一次法律诉讼(基本发生在美国)就会修改对“重要性”的定义。
当然,行业重视“重要性”,不仅仅是因为教授们年纪都很大(年纪大了就喜欢研究历史),更因为这个概念是监管机构立法的基础,也是法律诉讼判定的依据。不管是传统的财务信息披露体系,还是蓬勃发展中的可持续信息披露,都将“重要性”作为一切规则体系的起点。
尽管“重要性”原则如此关键,它的定义并不完全清晰。不同的司法体系都有自己对“重要性”的定义,虽然大致相近,但还是存在细微差别。这些差别造成了有些国家成为财务信息披露的法律“高地”或“洼地”,直接影响上市企业的合规成本和法律风险。而且,“重要性”定义一直处于动态变化中。
随着可持续理念的兴起,“重要性”的范畴在可持续领域有所扩张。可持续准则制定机构经过多年跑马圈地,试图抢占学术制高点,并以此影响立法。各派别的理念不同,导致制定规则的底层逻辑存在差异,这一点从他们对“重要性”的定义上可见端倪。
本文分为两部分。第一部分梳理世界主要司法体系对“重要性”的定义,第二部分进入ESG领域,对比主要可持续准则体系对于“重要性”的定义,第三部分探讨“双重重要性”的发展。
第一部分:传统“重要性”定义的全球对比
以下列出几个最主要司法体系对传统“重要性”原则的定义。之所以称之为传统,是指在财务信息披露的“重要性”,还不涉及其他领域信息,比如环境领域。
欧盟的“重要性”定义:
The status of information where its omission or misstatement could reasonably be expected to influence decisions that users make on the basis of the financial statements of the undertaking. … However, while a single item might be considered to be immaterial, immaterial items of a similar nature might be considered material when taken as a whole.

欧盟的定义是从反面衡量信息的“重要程度”。一旦信息被错失或误报,能够影响信息使用者的决策,则该信息material。欧盟定义的特色在于强调单个信息有可能不重要,但多个不重要的信息连在一起可能改变重要程度。
美国的“重要性”定义:
Materiality concerns the significance of an item to users of a registrant’s financial statements. A matter is ‘material’ if there is a substantial likelihood that a reasonable person would consider it important.

美国版“重要性”定义直接把“material”和”importance”划了等号。然而,这个等号的成立有两个前提,即“substantial likelihood”和”reasonable person”。什么样算substantial likelihood?什么样的人是reasonable(理性)?为了一个定义,需要更多定义。这给法庭裁量留出了广阔的空间,也给律师们留出了发挥的舞台。
国际会计准则IFRS的“重要性”定义
Information is material if omitting, misstating or obscuring it could reasonably be expected to influence decisions that the primary users of general purpose financial statements make on the basis of those financial statements, which provide financial information about a specific reporting entity.

IFRS不算一个独立的司法体系,但其影响范围很广,很多司法体系对于“重要性”的定义都有IFRS的影子。比如,之前列出的欧盟版定义和IFRS版本就非常相似,主要的区别是IFRS提到了信息的错失、误报和模糊,而欧盟只提到了信息的错失或误报。模糊比错失和误报更难评判。
中国对“重要性”的界定
中国的企业会计准则里并没有明确定义“重要性”,但有近似描述。在《企业会计准则——基本准则(2014)》第十七条中提到,企业提供的会计信息应当反映与企业财务状况、经营成果和现金流量等有关的所有重要交易或者事项。另外,在《中国注册会计师审计准则第1221号——重要性》第三条中提到,如果一项错报单独或连同其他错报可能影响财务报表使用者依据财务报表作出的经济决策,则该项错报是重大的。

根据SASB总结,各种版本的“重要性”定义的区别在以下四个方面:(1)信息披露者和披露目的;(2)信息披露范围;(3)如何定义信息的错失、误报和模糊;(4)信息披露渠道。
另外,各司法体系对于“reasonable”(理性人)的解释也不完全相同。比如,美国定义了信息使用者主要是投资者,理性的投资者不应该是“nitwit”(笨蛋),也不应该是专业投资人,应该处于两者之间,具体个案的判断就留给陪审团了。(关于陪审团工作机制,推荐经典电影《12怒汉》1957版)
第二部分:可持续准则体系的“重要性”定义
随着可持续理念的发展,世面上出现了大量制定可持续准则框架的机构。虽然都是关注可持续,但各家机构的理念不完全相同,导致他们设定准则的底层逻辑存在很大偏差。这里列举几家最具有影响力的机构对于“重要性”的定义。
全球报告倡议组织GRI对“重要性”的定义
An organization is required to identify material topics by considering the two dimensions of the principle:
(1) the significance of the organization’s economic, environmental, and social impacts—that is, their significance for the economy, environment or society, as per the definition of ‘impact’—and
(2) their substantive influence on the assessments and decisions of stakeholders.
A topic can be material if it ranks highly for only one dimension of the Materiality principle.

2011年,GRI率先对“重要性”做了补充定义。GRI版定义和传统定义最大的区别有二:其一,GRI将信息的范围明确界定为经济、环境和社会领域,而非传统定义的财务信息;其二,GRI将信息的使用者由投资人(stockholders)扩充为利益相关者(stakeholders)。
GRI的“重要性”定义是创新的。多年来,学术界对GRI的定义有两派看法。一种认为GRI的定义(即“双重重要性”)是传统定义(即“单一重要性”)的竞争对手,另一种认为GRI的定义是对传统定义的补充。学术界的争论不完全是在掉书袋,他们是在争夺学术制高点,从而争取影响立法。我在第三部分会讲回来。
可持续会计准则委员会SASB对“重要性”的定义
For the purpose of SASB’s standard-setting process, information is financially material if omitting, misstating, or obscuring it could reasonably be expected to influence investment or lending decisions that users make on the basis of their assessments of short-, medium-, and long-term financial performance and enterprise value.

SASB的基因是会计,所以它对“重要性”的定义和国际会计准则非常类似,即“单一重要性”。SASB版本的信息使用者还是投资者,信息的目的还是影响财务绩效和企业价值,看上去不像是一个可持续准则,而更像是一个传统财务准则。但是,SASB在对“重要性”定义中多了这么一句:“short-, medium-, and long-term”。这一句强调了可持续发展的理念,即长期主义。
可以看出,SASB更倾向于对原有体系的补充,而非颠覆。
国际可持续准则理事会ISSB对“重要性”的定义
ISSB成立以后,将SASB吸收了进来,再加之ISSB由IFRS发起成立,可见其必将拥抱“单一重要性”,对于“重要性”的定义夜会非常传统。
In the context of sustainability-related financial disclosures, information is material if omitting, misstating or obscuring that information could reasonably be expected to influence decisions that primary users of general purpose financial reports make on the basis of those reports, which include financial statements and sustainability-related financial disclosures and which provide information about a specific reporting entity.

我们再复习一下国际会计准则的“重要性”定义:
Information is material if omitting, misstating or obscuring it could reasonably be expected to influence decisions that the primary users of general purpose financial statements make on the basis of those financial statements, which provide financial information about a specific reporting entity.
可见,ISSB对“重要性”的定义就是在原有定义上加了“sustainability-related financial disclosures”几个字眼,其他的没变。
气候披露准则理事会CDSB对“重要性”的定义
Environmental information is material if: the environmental impacts or results it describes are, due to their size and nature, expected to have a significant positive or negative impact on the organization’s financial condition and operational results and its ability to execute its strategy; omitting, misstating or obscuring it could reasonably be expected to influence the decisions that users of mainstream reports make on the basis of that mainstream report, which provides information about a specific reporting organization.

虽然CDSB只关注气候信息披露,但其影响力很大,而且其对“重要性”的定义也反映了该机构制定规则的底层逻辑。从定义可见,CDSB和SASB、ISSB一样,关注的是传统的企业价值而非更广范围。某种程度上来说,CDSB对“重要性”的定义就是在国际会计准则传统重要性的定义上加入了气候信息。
对比
尤其可见,这些可持续准则制定机构在“重要性”定义上形成了泾渭分明的两派,一派是GRI主导的“双重重要性”,还有一派是ISSB/SASB/CDSB主导的“单一重要性”。所以,为什么ISSB可以吸收SASB和CDSB,却一直和GRI谈不拢,原因就已经很清楚了。不过,最近ISSB和GRI达成了共识,要深化彼此准则的对接:

自从ISSB成立之后,进行了大量的准则整合,GRI的影响力在减弱。所以,GRI的这些理想主义者们也开始向现实妥协,寻求与主流体系的对接,而非像以前一样在道德高地上俾倪众生。
第三部分:双重重要性的发展
虽然GRI发明了“双重重要性”,但“双重重要性”真正进入大众视野则是因为欧洲委员会在2019年正式将“双重重要性”纳入其报告指引。从此之后,“双重重要性”被认为是区分欧派和美派的重要分水岭。
The reference to the company’s “development, performance [and] position” indicates financial materiality, in the broad sense of affecting the value of the company. This perspective is typically of most interest to investors.
The reference to “impact of [the company’s] activities” indicates environmental and social materiality. This perspective is typically of most interest to citizens, consumers, employees, business partners, communities and civil society organizations.

可见,比起GRI的“重要性”定义,欧委会版本更加明确的提出financial materiality和environmental and social materiality两个perspectives。虽然这个指引只针对气候信息披露,但其意义重大,是第一个司法区域对“双重重要性”的应用。民间组织GRI制定的规则是没有法律效力的,但一旦被欧委会采用,就得到了背书。一时间,GRI成为主流ESG报告必采纳的准则框架。

上图是欧委会使用的一张图例,用来解释双重重要性。需要说明的是,双重重要性的双重并不是完全分割的,而是彼此作用的。公司行为影响了环境,同时环境会造成系统性风险,从而反过来再影响公司绩效。所以,双重重要性是内在相连的两层含义。
有的人会问,系统性风险确实会影响公司绩效,但影响程度比不上公司自己的风险。为什么要把系统性风险拔高到和公司自身风险同样的高度呢?
确实,这就涉及到投资界一个广为流传的争论:alpha(个体风险)和beta(系统风险)谁更重要?以后有机会专门撰文讨论这个话题。简单说来,双重重要性之所以被关注,是由投资界率先倡导的,尤其是巨量的机构投资人。这些投资人的投资组合非常分散,所以更加关注系统性风险,而非个体风险。有研究表明,对于机构投资人而言,系统性风险对投资回报的影响是个体风险的10倍。当你了解了这个逻辑,一切都很容易理解了。
然而,以SASB为代表的“单一重要性”流派也在发展,尤其是ISSB横空出世,整合了一众有影响力的可持续准则制定机构之后,“单一重要性”在奋起直追。这一点可以从GRI和SASB的认证持证人数可以看出。GRI和SASB都有自己的培训证书,一个叫GRI Certified Professional,一个叫SASB FSA(姑且译作:可持续会计师),一旦考试通过都会把人员信息挂网备查。2021年我考FSA的时候,FSA全球持证人数共1000人左右,而GRI有2000+。目前,GRI有4800左右持证人,而FSA已经追到4200左右。
虽然准则制定机构们处于竞争关系,但彼此之间也有合作,不然一个高度分裂的局面无法共同推动可持续准则被更广泛接受。2020年,5家机构(CDP、CDSB、GRI、IIRC、SASB)共同发布了一个申明,强调合作推动行业发展。IIRC和SASB在次年还合并成了一家,取名价值报告基金会VRF。2022年,CDSB和VRF又一起被吸收进了ISSB。
可持续的江湖还在继续。
